Cynthia Román-Sánchez is an attorney with over twelve years of experience, strong business sense and experience in corporate matters, as well, as civil and commercial litigation. She is an accomplished advocate and negotiator with sharply developed analytical and strategic planning skills. Ms. Román is recognized for her responsiveness and resourcefulness.
She served as In-House Counsel for the Asociación de Empleados del E.L.A. (“AEELA”) where she managed the Bankruptcy Division. Her leadership was key in the re-engineering of the operations to comply with the Bankruptcy Court’s compulsory electronic filing system. Additionally, she modified internal processes to assure compliance with the Bankruptcy Abuse Prevention and Consumer Protection Act of 2005 (Bankruptcy Code reform). Ms. Román also represented AEELA on claims filed before the Office of the Commissioner of Financial Institutions and the Insurance Commissioner.
She worked as In-House Counsel for Doral Bank and managed the foreclosure and asset disposition process. During her tenure, she assessed the opportunity areas in the foreclosure process and led the definition of new guidelines to reduce cost and accelerate the case resolution and assure compliance with the regulations and servicing contracts.
Her professional experience also includes working at two prominent local law firms where she gained considerable litigation and corporate law experience. Ms. Román managed highly complex commercial and general civil litigation. During
her tenure at a firm focused in providing services to the construction industry, she litigated a wide array of matters including breach of contracts, torts and surety claims. She also served as counsel for one of Puerto Rico largest insurance company and she successfully managed insurance defense litigation. As a labor and employment law counsel she assisted employers in minimizing their exposure and defended them in discrimination and labor matters. Ms. Román advised financial institutions in settlement negotiations to maximize recovery while safeguarding their fiduciary responsibilities. She also led the negotiation and execution of multiple settlements, highlighting one of commercial and construction facilities in the aggregated amount of $50 million dollars. However, for Ms. Román each case presents a challenge irrespectively of the claim’s amount.
At the Firm, Ms. Román manages all sorts of litigation at the he First Instance, Appellate Courts and the District Courts. Ms. Román evaluates contracts, loan documents and collateral to recommend and develop action plans. She drafts and negotiates contracts, settlement and work-out agreements for commercial and construction matters. Her clients trust her with cases involving public figures and renowned business leaders. She serves as local counsel for foreign corporations authorized to do business in Puerto Rico and assist them in corporate matters. Ms. Román counsels local entrepreneurs and professionals in corporate, employment and applicable local regulation compliance. She drafts employee and disciplinary manuals, comment and amend operating instructions. Ms. Román represents fellow attorneys in professional liability and torts cases as well as individuals in a wide array of legal actions. She is strives to maintain clients abreast of legislation developments, counsels and assists clients on key decisions and in the implementation of new legislation in their business operations.
While in law school, Ms. Román served as research assistant for the corporate and banking law classes. She was a member of the Law Review and authored, Fiscalización Ética Corporativa: Propuesta para Enmendar la Ley General de Corporaciones de Puerto Rico y para la Creación de la Junta Fiscalizadora de Corporaciones Privadas, 37 Rev. Jur. U.I.P.R. 707 (2003). She participated in the Global Village for Future Leaders of Business and Industry, of the Lee Iacocca Institute at Lehigh University, in Pennsylvania.
